Ralph Barry

Ralph Barry is a partner in the employee benefits and compensation department at Wilson Sonsini Goodrich & Rosati, based in the San Diego, California, office. His practice focuses on the representation of both private and public technology clients concerning executive compensation and employee benefits matters. His work entails the design and drafting of equity incentive plans, employment agreements, and tax-qualified retirement plans, as well as the tax, accounting, and securities law issues involved in implementing these arrangements. In addition, Mr. Barry is actively involved in the firm’s transactional practice, working with employers to manage the transition of employees and their benefits during and after a merger or acquisition, joint venture, or spin-off.

After graduating from McGeorge School of Law at the University of the Pacific with a J.D., Mr. Barry earned an LL.M. and an Employee Benefits Certificate from Georgetown University Law Center. He is admitted to practice in California.

In July and December 2006, the U.S. Securities and Exchange Commission issued new rules for disclosure of executive compensation for public companies. These new rules reflect a new philosophy that encourages significantly more disclosure and explanation than in the past, and that may encompass more executives than previously.
